Terms & Conditions

Effective Date: June 2026

These Terms and Conditions govern all services provided by The Social Atelier ("The Social Atelier", "we", "our", or "us") to the Client ("Client", "you", or "your").

By engaging The Social Atelier and accepting a proposal, quotation, invoice, or service agreement, you agree to these Terms and Conditions.

1. Acceptance

1.1 Acceptance of any proposal, quotation, invoice, agreement, payment, or commencement of work constitutes acceptance of these Terms and Conditions.

1.2 These Terms and Conditions apply to all services provided by The Social Atelier unless otherwise agreed in writing.

2. Services

The Social Atelier may provide services including but not limited to:

  • Business Mentoring & Coaching

  • Interior Design

  • Graphic Design

  • Public Relations

  • Design Concepts

  • One-on-One Consultancy

  • Website Design & Development

  • Branding

  • Photography & Videography

  • Social Media Management

  • Building & Design Consultancy

  • Marketing Strategy

  • Content Creation

  • Digital Marketing

The scope of work will be outlined in the approved proposal or quotation.

3. Fees & Payments

3.1 A deposit of 50% is required before work commences unless otherwise agreed in writing.

3.2 Remaining balances are due upon completion of the project or according to the agreed payment schedule.

3.3 All prices are quoted in Australian Dollars (AUD) and include GST where applicable.

3.4 Invoices are payable within 7 days unless otherwise stated.

3.5 The Social Atelier reserves the right to suspend services if invoices remain unpaid.

3.6 Late payments may incur administration fees, debt recovery costs, legal costs, and interest permitted under Australian law.

4. Project Changes & Additional Work

4.1 Any work requested outside the approved scope will be charged separately.

4.2 Additional work may be billed at an hourly rate of $180 per hour including GST, unless another rate is specified.

4.3 Project timelines may be extended if additional work is requested.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate information and materials required for the project.

  • Respond to requests for feedback within a reasonable timeframe.

  • Ensure all supplied content is owned by or licensed to the Client.

  • Obtain all required permissions and approvals.

The Social Atelier is not responsible for delays caused by the Client's failure to provide required information or approvals.

6. Intellectual Property

6.1 The Client retains ownership of all materials supplied by the Client.

6.2 Upon full payment of all invoices, the Client receives a licence to use the completed deliverables for their intended purpose.

6.3 The Social Atelier retains ownership of:

  • Draft concepts

  • Unused designs

  • Working files

  • Templates

  • Internal systems

  • Proprietary processes

  • Methodologies and frameworks

unless otherwise agreed in writing.

6.4 The Social Atelier may showcase completed work within its portfolio, website, social media, marketing materials, and award submissions unless otherwise agreed.

7. Website Design & Development

7.1 The Client is responsible for reviewing and approving content, functionality, and design before launch.

7.2 The Social Atelier is not liable for losses resulting from website downtime, software updates, third-party integrations, plugin failures, hosting issues, cyber attacks, or search engine ranking changes.

7.3 Ongoing maintenance, updates, hosting, and support are not included unless specifically outlined in the proposal.

7.4 The Client is responsible for maintaining backups unless a maintenance agreement is in place.

8. Branding, Design & Creative Services

8.1 Concepts and drafts remain the property of The Social Atelier until full payment has been received.

8.2 The Client may not reproduce, distribute, modify, or resell creative work prior to payment.

8.3 The Social Atelier reserves the right to refuse revision requests that fall outside the approved scope.

9. Social Media & Marketing Services

9.1 The Social Atelier does not guarantee specific results, including:

  • Sales

  • Revenue

  • Leads

  • Followers

  • Engagement

  • Search engine rankings

9.2 Marketing outcomes depend on numerous external factors beyond our control.

9.3 The Client remains responsible for final approval of all published content.

10. Photography & Videography

10.1 The Social Atelier retains copyright ownership of photographs, videos, and creative assets unless otherwise agreed in writing.

10.2 The Client receives usage rights as outlined in the proposal.

10.3 The Social Atelier may use captured content for promotional purposes unless otherwise agreed.

11. Confidentiality

11.1 Both parties agree to keep confidential information private.

11.2 Confidential information will not be disclosed to third parties except where required by law.

12. Limitation of Liability

12.1 To the maximum extent permitted by law, The Social Atelier shall not be liable for:

  • Loss of profits

  • Loss of business opportunities

  • Indirect losses

  • Consequential losses

  • Data loss

  • Reputational damage

12.2 The maximum liability of The Social Atelier shall be limited to the fees paid by the Client for the specific service giving rise to the claim.

13. Indemnity

The Client agrees to indemnify and hold harmless The Social Atelier, its directors, contractors, employees, and affiliates from any claims, damages, losses, costs, liabilities, or legal expenses arising from:

  • Materials supplied by the Client

  • Misuse of deliverables

  • Breach of these Terms and Conditions

  • Unauthorised use of intellectual property

14. Termination

14.1 Either party may terminate a project by providing written notice.

14.2 The Client remains liable for all work completed up to the termination date.

14.3 Deposits are non-refundable once work has commenced.

14.4 Upon termination, all outstanding invoices become immediately payable.

15. Force Majeure

The Social Atelier shall not be liable for delays or failures caused by circumstances beyond reasonable control, including:

  • Natural disasters

  • Government restrictions

  • Internet outages

  • Pandemics

  • Industrial disputes

  • Third-party service failures

16. Privacy

The Social Atelier respects your privacy and will handle personal information in accordance with applicable Australian privacy laws.

Client information will not be sold or disclosed to third parties except where required for service delivery or by law.

17. Governing Law

These Terms and Conditions are governed by the laws of New South Wales, Australia.

Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of New South Wales.

18. Entire Agreement

These Terms and Conditions, together with any approved proposal, quotation, invoice, or service agreement, constitute the entire agreement between The Social Atelier and the Client.

No verbal agreements shall override these Terms unless confirmed in writing.
